教學內容 本門課旨在探討與企業併購攸關之研究課題，包括(1)企業併購對股東財富之影響，(2)企業併購所創造財富之成因及其在”喊價廠商”與”標的廠商”間之分配情形，(3)主併廠商之併購動機/標的廠商之反併購動機，以及(4)委託書徵求對股東財富/經理人異動之影響等研究課題。 Syllabus Following an overview, this course covers the following topics: (1) an in-depth case study so that “wealth creation” and “wealth destruction” in the wake of merger can be better understood. (2) Wealth changes for both bidding and targeted firms. (3) Sources of wealth gains, and how the gains are distributed among shareholders of bidding and targeted firms. (4) Managerial motives behind acquisition attempts and takeover defenses (5) Economic consequences of proxy fight in terms of its impact on shareholders’ wealth and managerial turnover.
