精熟商事法之知識及本質，對於公司治理及完成本課程而言是必要的。課程討論涵蓋與管理階層特別需要相關之各議題。學生修完本課程，可望具識別公司內外部管理環境中產生之法律問題。 |
Objectives |
Mastering the essence and knowledge of Business Laws is crucial in terms of corporate governance and satisfactorily completing this course. The class discussion would cover issues of particular needs to the management level. Hopefully, students could identify critical legal problems arising out of internal and external corporate management environment after they leave this class. |

一般論述商事法主指公司法、票據法、海商法、保險法四種：
一、公司法：了解何謂公司種類、權利能力、資本三原則等。
二、票據法：了解票據種類、性質、時效、禁止背書轉讓等。
三、保險法：了解基本概念及如何確保權益等。
四、海商法：了解船舶所有人責任限制、優先權、載貨證券效力等。 |
Syllabus |
The business Law which we generally discuss includes (1) COMPANY law, (2) law of negotiable instruments, (3) maritime law and (4) insurance
law.
1.Company Law: Explain the forms of the company, its rights and abilities, three principles of the capital, etc…
2.Law of Negotiable Instruments: Explain the sorts, nature, the validity and non-negotiability of the negotiable instruments.
3.Insurance Law: Explain the basic concepts and how to protect the rights and interests.
4.Maritime Law: Explain the liability and the limitation of the ship owner, priority and the validity of the shipping documents. |
